White-Label NDA & Non-Compete
Our baseline legal commitments to protect your agency, your brand, and your clients.
01. Scope of Agreement
This White-Label Mutual Non-Disclosure and Non-Compete Agreement (the "Agreement") is established to govern all technical development, migration, and automation services provided by Rootvertex ("Developer") to your agency ("Agency") and your respective end-clients ("Clients"). This baseline agreement applies to all pilots, scoping calls, and active projects unless a custom bilaterally signed NDA is executed.
02. Absolute Client Non-Disclosure
Developer agrees that all information, assets, logins, databases, designs, and communications related to the Agency's Clients are strictly confidential. We act strictly as an anonymous, white-label technical partner. Under no circumstances will Developer:
- Disclose the identity of the Agency's Clients to any third party.
- Claim credit for the Client's website builds, programmatic layouts, or automations in any public portfolio, resume, or case study.
- Utilize Client brand names, domain names, or logos for public marketing or self-promotion.
03. Non-Circumvention (Client Protection)
Developer shall not directly or indirectly contact, pitch, solicit, contract with, or perform services for any of the Agency's Clients discovered through the course of our partnership. Any request from a Client to work directly with Developer will be immediately routed back to the Agency. This protection extends for a period of twenty-four (24) months following the termination of our active partnership.
04. Unbranded Deployment Protocol
To preserve the absolute "invisible partner" structure, Developer enforces strict white-label deployment hygiene:
- **Unbranded Staging:** Staging sites are hosted on completely unbranded, generic URLs with zero references to Rootvertex.
- **White-Label Code:** No developer comments, author tags, or system branding are injected into standard templates, theme files, CSS, or advanced custom fields.
- **Anonymous Communications:** If invited to internal Slack workspace or PM channels, our engineers operate using generic aliases or strictly under the Agency's own brand domain.
05. Ownership of Intellectual Property (IP)
Upon receipt of full payment for any respective project, all intellectual property rights, custom code, databases, Python scripts, and technical templates developed specifically for a Client’s project transfer automatically and completely to the Agency. Developer retains no rights to, nor will we license or reuse, proprietary assets built for your Client.
06. Security and Access Protection
Developer treats all passwords, API keys, SSH logins, and WP admin credentials with strict, standard operational hygiene. Access keys are stored in encrypted, isolated managers, shared only with assigned engineers, and purged immediately upon final project delivery and client sign-off.
